Terms of Service — Serva Depositions

1. Acceptance of Terms

By accessing or using Serva Depositions, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the App.

If you are using the App on behalf of a law firm or organization, you represent that you have the authority to bind that entity to these Terms.

2. Service Description

Serva Depositions provides:

• Audio Recording: Record depositions directly from your iOS device
• Transcription: Real-time and cloud-enhanced transcription of recorded audio
• AI Analysis: Contradiction detection, executive summaries, and natural language interrogation of transcripts
• Search: Full-text search across all deposition transcripts
• Export: Export transcripts in PDF and text formats

3. Recording Consent

You are solely responsible for complying with all applicable federal, state, and local laws regarding the recording of conversations and depositions.

Recording laws vary by jurisdiction. Some states require the consent of all parties to a conversation before recording is lawful. Before using the recording feature, you must:

• Determine the recording consent requirements in your jurisdiction
• Obtain all required consents before recording
• Comply with any applicable court rules regarding deposition recording

Serva Tempus, LLC is not responsible for your failure to obtain required consents or comply with applicable recording laws.

4. Not a Court Reporter Substitute

Serva Depositions is a supplemental tool for attorneys. The App does not replace a certified court reporter where one is required by applicable rules, statutes, or court orders. AI-generated transcripts are not certified and should not be relied upon as the official record of a deposition.

5. User Responsibilities

Account Security

• Maintain the security of your Microsoft 365 credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities under your account

Professional Use

• Review and verify AI-generated transcripts and analyses before relying on them
• Comply with all applicable laws, rules of professional conduct, and court rules
• Ensure recordings comply with applicable consent requirements

6. Data and Privacy

Your data remains yours. We commit to:

• Never sell or share your deposition content
• Maintain attorney-client privilege protections
• Delete your data upon account termination
• Provide data export capabilities at any time

7. Subscription and Fees

• Subscription: The App is available via subscription through the Apple App Store
• Billing: All billing is handled by Apple through your Apple ID
• Cancellation: You may cancel your subscription at any time through your Apple ID settings. Cancellation takes effect at the end of the current billing period
• Refunds: Refund requests are handled by Apple per their refund policies

8. Intellectual Property

The App and its original content, features, and functionality are owned by Serva Tempus, LLC and are protected by intellectual property laws.

You retain ownership of all audio recordings, transcripts, and other content you create using the App. We do not claim any ownership rights to your deposition data.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVA TEMPUS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Without limiting the foregoing, we are not liable for any errors, omissions, or inaccuracies in AI-generated transcripts or analyses, or for any consequences arising from reliance on such outputs.

10. Termination

You may stop using the App and cancel your subscription at any time. Upon cancellation, you may export your data. We will delete your data within 30 days of account deletion request, unless legally required to retain it.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the App or by email. Continued use after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Cook County, Illinois.
